Agreement and eligibility
These Terms of Service (the “Terms”) govern your access to and use of Genesis, a service operated by AI Centre of Excellence (“AICOE”, “we”, “us”, or “our”). By creating an account, accepting an order form, or using Genesis, you agree to these Terms. If you use Genesis for an organization, you confirm that you have authority to bind that organization.
You must be legally able to enter into this agreement and must not use Genesis where doing so is prohibited by applicable law. If a separate signed agreement or order form conflicts with these Terms, the signed agreement or order form controls for that conflict.
The Genesis service
Genesis helps users plan work, coordinate AI specialists, generate business and software deliverables, review evidence, and connect approved third-party tools. Features may include AI models, isolated build environments, quality checks, collaboration, and connector actions.
Some capabilities are experimental, usage-limited, or identified as previews. A status such as “drafted”, “checked”, or “ready” describes the product workflow; it does not replace your own professional review, testing, approval, or legal obligations.
Accounts and security
- Provide accurate account information and keep it current.
- Protect access to your email, sessions, API keys, connector credentials, and organization workspace.
- Use only accounts and systems you are authorized to access.
- Notify us promptly at hello@aicoe.io if you suspect unauthorized use.
Your content and generated work
You retain your rights in prompts, files, business information, instructions, and other material you submit (“Customer Content”). You grant AICOE a limited right to host, process, reproduce, and transmit Customer Content only as needed to provide, secure, support, and improve the service, comply with law, and enforce these Terms.
As between you and AICOE, and to the extent permitted by law, you may use output generated for you. Because AI systems can produce similar material for different users, output may not be unique. You are responsible for confirming that your inputs and intended use of output do not violate another person’s rights or applicable law.
AI output and human responsibility
AI-generated output may be inaccurate, incomplete, outdated, biased, or unsuitable for your circumstances. Review and independently verify important claims, citations, calculations, code, security controls, and compliance conclusions before relying on them.
Genesis does not provide legal, medical, financial, tax, employment, or other regulated professional advice. Qualified people must review decisions with legal, safety, financial, employment, healthcare, or other significant consequences. You remain responsible for decisions, approvals, deployments, communications, and actions taken from the output.
Connectors and external actions
If you connect a third-party account or service, you authorize Genesis to access and use that connection within the permissions you grant and the actions you approve. You are responsible for ensuring that you have authority to connect the account, share the relevant data, and request each action.
Third-party services are governed by their own terms and privacy practices. Their availability, data handling, rate limits, and decisions are outside AICOE’s control. Disconnect integrations you no longer use, grant the narrowest practical permissions, and review consequential actions before they are sent or published.
Acceptable use
You may not use Genesis to:
- break the law, violate rights, deceive people, or facilitate fraud, harassment, exploitation, or violence;
- create or distribute malware, bypass security controls, probe systems without permission, or gain unauthorized access;
- submit content you do not have the right to use, including unlawfully obtained personal or confidential information;
- interfere with the service, evade usage controls, resell unauthorized access, or reverse engineer protected parts of Genesis except where law permits; or
- represent AI-generated material as independently verified when it has not been reviewed.
We may investigate suspected misuse and restrict access where reasonably necessary to protect users, third parties, or the service.
Plans, fees, and changes
Paid plans, usage allowances, billing periods, renewal terms, and taxes are described at purchase or in an applicable order form. You authorize applicable charges for the plan you select. Unless law or a written agreement requires otherwise, charges already incurred are non-refundable.
We may change features, limits, or prices prospectively. We will provide notice when a change materially affects a paid subscription and will not silently move a free account to a paid plan. You may stop using the service or cancel in accordance with the controls and terms shown for your plan.
AICOE technology and feedback
AICOE and its licensors retain all rights in Genesis, including its software, interfaces, workflows, branding, documentation, and underlying technology. These Terms give you a limited, non-exclusive, non-transferable right to use the service while your account is active and compliant.
If you send feedback, you allow AICOE to use it without restriction or payment, but we will not identify you publicly as its source without permission.
Privacy and confidential information
Our Privacy Policy explains how we handle personal information. Each party will use reasonable care to protect non-public information received from the other and will use it only for the service or as otherwise authorized. Do not place data in Genesis unless you are permitted to process it there and have applied any required privacy, security, residency, or sector-specific controls.
Availability, suspension, and termination
We work to keep Genesis reliable, but the service may be interrupted for maintenance, security, provider outages, capacity limits, or events outside our control. We may modify or discontinue a feature and will use reasonable efforts to give notice when a material paid feature is retired.
You may stop using Genesis at any time. We may suspend or terminate access for material breach, non-payment, legal requirements, security risk, or harm to the service or others. Provisions that by their nature should survive—such as ownership, payment obligations, disclaimers, and liability limits—remain effective after termination.
Disclaimers and liability
To the maximum extent permitted by law, Genesis is provided “as is” and “as available”. AICOE disclaims implied warranties, including merchantability, fitness for a particular purpose, non-infringement, and warranties arising from course of dealing. We do not promise that output will be accurate, unique, secure, or error-free, or that the service will always be uninterrupted.
To the maximum extent permitted by law, AICOE will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunity. AICOE’s aggregate liability arising from the service will not exceed the greater of the amount you paid AICOE for Genesis in the 12 months before the event giving rise to the claim or US$100. These limits do not apply where applicable law does not allow them.
General terms and contact
You may not assign these Terms without AICOE’s written consent, except as part of a permitted corporate reorganization or sale of substantially all relevant assets. AICOE may assign these Terms as part of a merger, acquisition, reorganization, or sale. If any provision is unenforceable, the remaining provisions stay in effect. A failure to enforce a provision is not a waiver.
These Terms are governed by the laws of England and Wales, subject to mandatory consumer protections that apply where you live. The courts of England and Wales have jurisdiction unless applicable law gives you a different mandatory forum or a signed order form states otherwise.
We may update these Terms and will revise the effective date and version above. If a change materially reduces your rights, we will provide reasonable notice through the service or your account email.
